Dividends and IOC

CSU’s Bylaws define a minimum Dividend payout of 25% of net profit after the constitution of a 5% legal reserve. The Company, pursuant to approval of the Board of Directors, decides the distribution of interim or regular Dividends.

CSU’s Bylaws also foresee that the Board of Directors may approve the payment or crediting of Interest on Own Capital credit “ad referendum” of the Annual General Meeting that examines the financial statements for the fiscal year in which such interest was paid or credited, which may be attributed to the mandatory Dividend or not at the discretion of the Board of Directors, as authorized by applicable law.

The Company has a long and consistent history of business expansion, with recurring margin gains and strong cash generation. As its different business fronts gain relevance and, consequently, presents gains in scale, our ability to reinvest in the business and expand expansion opportunities is amplified. Throughout its history, more than R$ 700 million have been invested via capex in new technologies and infrastructure, which places us in a outstanding postition compared to our main competitors.

In addition to the investments mentioned above, more than R$ 215 million have been distributed to shareholders through dividends and interest on own capital since the beginning of its operations, maintaining an average payout of around 50% of profit in the last two years. In 2023,in 2023, the Company effectively paid R$ 63.7 million, of which R$ 14.6 million were extraordinary dividends for the year 2022, R$ 22.2 million were the gross amount of IOC for the year 2022 and R$ 26.9 million were the gross amount of IOC for the year 2023. In addition, on March 19, 2024, the Board of Directors approved and will submit for approval to the General Meeting of April 29, 2024, the distribution of profits for the year, for which the proposed complementary dividends amount to R$ 17.3 million, which would increase the payout of 2023 to 50%. Finally, the Board of Directors of the Company has already approved the payment of R$ 6.5 million as interest on own capital related to the results of the first quarter of 2024, to be paid on April 4.
